This Policy outlines the general principles and guidelines that govern how Codend ("we", "us", or "our") conducts business, delivers services, and interacts with clients, partners, and users through our website at https://codend.io. By engaging with our services, you acknowledge and agree to the policies described herein.
This Policy should be read in conjunction with our Privacy Policy and Terms and Conditions.
1. Scope of Services
Codend provides software development, design, and technology consulting services. The specific scope, deliverables, timelines, and pricing for any project are defined in individual agreements or proposals shared with the client prior to the commencement of work.
We reserve the right to decline any project or engagement at our sole discretion without obligation to provide a reason.
2. Client Engagement and Communication
Effective communication is essential to a successful project. Clients are expected to:
- Provide timely and accurate information, feedback, and approvals necessary for project progress.
- Designate a primary point of contact authorized to make decisions on behalf of the client.
- Respond to inquiries and review requests within a reasonable timeframe as outlined in the project agreement.
Delays caused by a client's failure to meet these expectations may result in adjusted timelines and additional costs at Codend's discretion.
3. Project Deliverables and Acceptance
All deliverables will be provided as specified in the project agreement. Upon delivery, the client will have a review period (as defined in the agreement) to evaluate the work and request reasonable revisions.
- Revisions must fall within the original scope of the project. Requests beyond the agreed scope will be treated as new work and quoted separately.
- Deliverables are considered accepted if the client does not raise objections within the review period.
- Final deliverables and source code are transferred to the client upon full payment unless otherwise agreed.
4. Payment Policy
Payment terms are outlined in individual project agreements. The following general policies apply:
- An upfront deposit may be required before work commences, typically ranging from 25% to 50% of the total project cost.
- Milestone-based payments may be established for larger projects.
- Final payment is due upon project completion and delivery, unless otherwise agreed.
- Late payments may incur interest charges and may result in suspension of work until outstanding balances are settled.
All prices are quoted in the currency agreed upon in the project proposal. Currency conversions, if applicable, are subject to prevailing exchange rates at the time of payment.
5. Refund Policy
Refund eligibility is evaluated on a case-by-case basis. The following guidelines apply:
- Refund requests must be submitted in writing to [email protected] within 14 days of the delivery of the final product.
- Refunds are not available for work that has been completed and accepted, or for time and materials already expended.
- If a project is cancelled by the client before completion, any work completed up to the point of cancellation will be billed accordingly, and any unused deposit may be partially refunded at Codend's discretion.
- Codend reserves the right to deny refund requests where services have been substantially delivered.
6. Intellectual Property
Unless otherwise specified in a project agreement:
- All intellectual property rights to custom work created for the client are transferred to the client upon full payment.
- Codend retains the right to use general knowledge, techniques, and non-proprietary components developed during the project for future work.
- Third-party libraries, frameworks, and tools used in a project remain subject to their respective licenses.
- Codend may showcase completed projects in its portfolio unless the client requests otherwise in writing.
7. Confidentiality
Codend treats all client information, project details, and business data with strict confidentiality. We will not disclose, share, or sell any confidential information provided by clients to third parties, except:
- When required by law or legal proceedings.
- When necessary to fulfill the project (e.g., sharing relevant details with subcontractors under binding confidentiality agreements).
- When the client provides explicit written consent.
Clients are similarly expected to maintain the confidentiality of Codend's proprietary processes, pricing structures, and internal methodologies.
8. Service Availability and Support
Codend strives to maintain high availability and reliability of its services. However, we do not guarantee uninterrupted access to our website or services. Scheduled maintenance, updates, and unforeseen outages may temporarily affect availability.
Post-project support and maintenance are available as a separate engagement. The terms, duration, and cost of support services will be defined in a separate maintenance agreement.
9. Acceptable Use
Clients and users agree not to use Codend's services or deliverables for:
- Any unlawful, fraudulent, or malicious purpose.
- Activities that infringe upon the rights of others, including intellectual property rights.
- Distribution of harmful software, malware, or any code designed to disrupt systems.
- Any purpose that violates applicable local, state, national, or international law.
Codend reserves the right to refuse or terminate services if this policy is violated.
10. Limitation of Liability
To the fullest extent permitted by law, Codend shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
11. Policy Modifications
Codend reserves the right to update or modify this Policy at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Policy. We encourage users to review this page periodically for the latest information.
12. Dispute Resolution
In the event of a dispute arising from or related to our services, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the laws of the United States. Each party shall bear its own costs unless the arbitrator determines otherwise.
